To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless Lead Edge Capital, its managing members, licensors, officers, directors, employees, agents, trustees, subsidiaries, parent companies and affiliates (the “Indemnitees”) from and against all third party complaints, charges, claims, losses, expenses, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys’ fees) due to, arising out of, or relating in any way to: (a) your access to or use of the Site and (b) your breach of this Privacy Notice or Terms of Use, in each case unless caused by such Indemnitee’s misrepresentation, gross negligence, willful misconduct or fraud.

GOVERNING LAW
You agree that your use of this Site, the Privacy Notice, and Terms of Use, and any disputes relating to any of them shall be governed in all respects by the laws of the State of New York. Any dispute relating to the above shall be resolved solely in the state or federal courts located in Manhattan, New York.

MISCELLANEOUS
If a portion of this Privacy Notice or Terms of Use is determined to be unlawful, void or unenforceable, it will not affect the enforceability of the remaining provisions and the remaining provisions will continue in effect. WHO IS LEAD EDGE CAPITAL MANAGEMENT, LLC.
Lead Edge Capital Management, LLC, a Delaware limited liability company founded in 2013, is an investment management company which, directly and through its affiliates and subsidiaries (together, “LECM”) provides investment management and advisory services to a series of private funds (each a “Fund” and collectively, including any future pooled investment vehicle for which LECM may serve as an investment adviser, the “Funds”). While most Funds focus on equity investments primarily in the private venture capital markets in the U.S. and abroad, such Funds may also make investments in publicly traded securities.

LECM takes precautions to maintain the privacy of personal information concerning its Investors (All references to LECM Investors herein shall include current and prospective individual investors in its Funds as well as individuals who are employees or other representatives of institutional Investors). These precautions include the adoption of certain procedures designed to maintain and secure such Investors’ personal information from inappropriate disclosure to third parties. This Privacy Policy describes how we handle Investors’ personal information in accordance with applicable privacy laws, including the Gramm-Leach-Bliley Act (“GLBA”), the California Consumer Privacy Act (“CCPA”), and the European General Data Protection Regulation (“GDPR”).

PERSONAL INFORMATION WE COLLECT.
We collect personal information about Investors in connection with the advisory services we provide to them. This information includes information such as your:
Name, address, and phone number;
Assets/income (accredited investor and/or qualified purchaser status);
Social Security number, tax identification number, and citizenship information;
Transaction history, investment experience, and investment activity; and
Wire transfer instructions.

HOW WE COLLECT THIS INFORMATION.
LECM collects personal information about its Investors from the following sources:
Information received in subscription documents to its Funds, investment management agreements, or other related documents, agreements or forms;
Information about transactions with and within its Fund accounts; and
Information received from third-party data providers, such as consumer reporting agencies.

HOW WE USE THIS INFORMATION.
LECM uses personal information for the following purposes:
To perform our obligations under the subscription agreement, including to assess and process Investors’ applications, verify Investors’ identities, and administer investments in the Funds;
To administer the Funds pursuant to our legitimate interests, including to conduct audits, implement risk management processes, and deploy corporate governance;
For direct marketing communications, including to contact Investors with information about similar products or services offered by the affiliates of the Funds that may be of interest to them, subject to consent where required;
To comply with applicable laws, lawful requests, and legal process; and
For compliance, fraud prevention, and safety purposes.

HOW WE DISCLOSE THIS INFORMATION.
LECM does not disclose any personal information about its prospective, existing or former Investors to anyone, except as permitted or required by law and regulation. LECM restricts access to personal information about its Investors to those employees and agents of LECM who have been advised as to the proper handling of such information and who need to know that information in order to provide authorized services to its Investors. LECM may also disclose such information to its affiliates for their everyday business purposes, and to service providers and financial institutions that provide authorized services to LECM Funds. LECM will require such third-party service providers and financial institutions to protect the confidentiality of Investors’ personal information and to use the information only for purposes for which such information is disclosed to them. LECM may also disclose personal information in connection with a corporate transaction, or to regulatory authorities as required or permitted by applicable law or as necessary to enforce our terms and conditions. LECM maintains physical, electronic, and procedural safeguards that comply with applicable information security standards to safeguard its Investors’ personal information and which LECM believes are adequate to prevent unauthorized disclosure of such information.

HOW LONG WE RETAIN THIS INFORMATION.
We retain personal information only for as long as is reasonably necessary to fulfil the purposes for which it was collected and processed, in accordance with our retention policies, and in accordance with applicable laws and regulatory obligations.

HOW WE TRANSFER THIS INFORMATION.
We may transfer personal information to our affiliates and service providers in the United States and other jurisdictions. Please note that such jurisdictions may not provide the same protections as the data protection laws in the Investor’s home country. When we engage in cross-border data transfers, we will ensure that relevant safeguards are in place to afford adequate protection for the personal information and we will comply with applicable data protection laws, in particular by relying on an EU Commission or UK government adequacy decision or on contractual protections for the transfer of personal information.

INVESTORS’ PRIVACY RIGHTS IN RELATION TO THIS INFORMATION.
Individual Investors who are European residents, and California residents who are employees or other representatives of institutional Investors, have the right to request

INFORMATION about how we have collected and used personal information.

ACCESS to a copy of the personal information that we have collected about the Investor.

CORRECTION of the personal information that is inaccurate or out of date.

DELETION of the personal information that we no longer need to provide our services or for other lawful purposes.

OPT OUT of sale or sharing of personal information. However, we do not sell personal information or share it for cross-contextual advertising purposes.

To make a request, Investors may email us or write to us as provided above. We may ask for specific information to confirm the identity of the Investor making the request, or the identity and authority of their authorized agent who submits the request on their behalf. In some instances, the privacy rights described in this section may be limited, such as where fulfilling the request would impair the rights of others, our ability to provide our service, or our ability to comply with our legal obligations and enforce our legal rights. In certain jurisdictions, Investors may be able to lodge a complaint about how we handle their personal information with the country supervisory authority, including in the Investor’s country of residence, place of work or where the Investor believes an incident took place.

RESPONSIBLE ENTITY.
The Fund in which the Investor is investing is responsible for the Investor’s personal information (as a controller, where provided under applicable law). LECM is responsible for administering Investors’ privacy rights on the Fund’s behalf.
